NEW YORK, June 17 (Infinite Headlines) — SpaceX said in a securities filing on June 16 that it is proceeding with a $60 billion all-stock acquisition of Anysphere, the company behind the Cursor AI coding tool, and expects the deal to close in the third quarter of 2026.

According to the filing, Cursor will become a wholly owned subsidiary of SpaceX when the transaction closes. Reuters, citing the filing, reported that the purchase will not use funds from SpaceX’s IPO and that SpaceX could owe a $10 billion termination fee if the agreement fails under certain conditions.

The filing turns an April option agreement into a full acquisition. In an April post on X, SpaceX said it had the right to acquire Cursor later in 2026 for $60 billion or pay $10 billion for the companies’ collaborative work instead.

In that April announcement, SpaceX said the companies were working together on a “coding and knowledge work AI.” SpaceX also said it planned to combine Cursor’s product and distribution with its Colossus training supercomputer, which the company described as having “million H100 equivalent” compute. SpaceX did not provide independent benchmarks or a release date for any new model in the materials described publicly.

Cursor CEO Michael Truell said in a statement that SpaceX had exercised its option to acquire Cursor in an all-stock transaction. Reuters also reported that SpaceX had announced plans to introduce an AI model using Cursor and a Build xAI coding agent developed over several months.
